Appointment of managing persons for the next term of office

The Board of Directors of Przedsiębiorstwo Przemysłu Spożywczego PEPEES S.A. (‘the Company’) hereby informs that, on 10 April 2018, the managing persons in the Company, i.e. Mr Wojciech Faszczewski and Mr Tomasz Rogala, resigned from their positions of the President and of a Member of the Company’s Board of Directors respectively, without stating any reasons for their resignations.
Also on 10 April, the Supervisory Board of the Company, acting pursuant to art. 11.2 of the Company’s Articles of Association and art. 369 § 1 of the Polish Commercial Code, appointed Mr Wojciech Faszczewski as the President of the Board of Directors of the Company and Mr Tomasz Rogala as a Member of the Board of Directors of the Company. Both gentlemen were appointed for the next term of office starting on 10 April 2018.
Below, the Company presents the information about the qualifications and experience of each appointed managing person.
Mr Wojciech Faszczewski – President of the Board of Directors
He graduated from the Medical Academy of Bialystok. He has been the President of the Board of Directors of PEPEES since 2010. He is also the President of the Board of Directors of PPZ BRONISŁAW S.A., the Chairman of the Supervisory Board in the subsidiary of PEPEES, i.e. ZPZ LUBLIN sp. z o.o., and a member of the Supervisory Board of CHP Energia sp. z o.o. Previously, he was a member of the Supervisory Board of PEPEES and was associated with the Oncology Centre in Białystok, Chemotherapy and Cancer Ward. He is also a former Member of the Board of Directors of the Individual Investors Association – Białystok Region. In June 2010, he was delegated by the Supervisory Board of PEPEES S.A. to perform the duties of the President of the Company’s Board of Directors.
Mr Tomasz Rogala – Member of the Board of Directors
Mr Tomasz Rogala graduated from Warsaw University of Life Sciences with the diploma of the Master of Sciences (engineering). He has been a Member of the Board of Directors of PEPEES since 2016. He is also the President of the Board of Directors of Gospodarstwo Rolne “Ponary” Sp. z o.o. and a Member of the Supervisory Board of CHP Energia Sp. z o.o. To date, he has worked in managerial positions in commercial enterprises and in companies related to the real estate industry; he was also a member of the Supervisory Board of a housing cooperative in Warsaw.
The appointed managing persons have stated that they do not carry out any activities outside the Issuer’s enterprise, do not participate in competitive entities as partners in civil-law partnerships or any other partnerships, or as members of any authorities of any companies, or in any other competitive legal persons as members of their authorities. In addition, they are not entered in the Register of Insolvent Debtors.
Specific legal basis: § 5 Clause 1 items 21 and 22 of the Decree of the Minister of Finance dated 19 February 2009 on current and periodic information provided by issuers of securities and conditions for recognising as equivalent the information required by the law of a non-member state.
