Filing a lawsuit to declare invalidity of/repeal challenged resolutions of the Annual General

The Board of Directors of Przedsiębiorstwo Przemysłu Spożywczego PEPEES S.A. (‘the Company’) hereby informs that, on 4 July 2018, it received from the District Court, Economic Court in Białystok, VII Economic Division (‘the Court’), a copy of the lawsuit filed by EPSILON Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych w Warszawie (‘the Plaintiff’) against the Company to declare invalidity of resolutions Nos. 25 and 29 regarding the appointment of members of the Supervisory Board and to repeal resolution No. 12 regarding the allocation of the Company’s net profit for the financial year 2017 and the aforementioned resolutions Nos. 25 and 29 regarding the appointment of members of the Supervisory Board adopted on 11 May 2018 by the Annual General Meeting of Shareholders of the Company, about which the Company informed in its current report No. 20/2018 of 12 May 2018.
Together with the copy of the lawsuit, the Company received a copy of the Court’s decision of 19 June 2018 on securing the Plaintiff’s claim by suspending the performance of the challenged resolutions Nos. 12, 25 and 29 of the Annual General Meeting of Shareholders of the Company of 11 May 2018, including by:
a) prohibiting any actual or legal acts aimed at transferring the Company’s profit for 2017 to reserves – investment fund within the scope covered by resolution No. 12;
b) suspending the registration proceedings by the District Court in Białystok, XII Economic Division of the National Court Register regarding the entry in the Register on the basis of resolutions Nos. 25 and 29.
The decisions of the Court are not final.
Legal basis: § 19 Clause 1 items 10 and 11 of the Decree of the Minister of Finance dated 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognising as equivalent the information required by the law of a non-member state.
