Change of the decision on the application of precautionary measures in the case of the lawsuit

With reference to current report No. 24/2018 regarding the filing of a lawsuit to repeal/annul challenged resolutions of the Annual General Meeting of Shareholders of 11 May 2018 (‘the AGM’) and to secure the claim of EPSILON Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych w Warszawie (‘the Plaintiff’) by suspending the implementation of the challenged resolutions, the Board of Directors of Przedsiębiorstwo Przemysłu Spożywczego PEPEES S.A. (‘the Company’) hereby informs that, on 28 August 2018, they received from the Appeal Court in Białystok, I Civil Division (‘the Court’), a copy of the decision changing the decision of the Regional Business Court in Białystok, VII Economic Division, of 29 June 2018 on securing the claim referred to in the aforementioned current report, in such a way that the Court dismissed the Plaintiff’s request to prohibit the performance of actual or legal acts aiming at transferring the Company’s profit for 2017 to reserves – investment fund within the scope covered by Resolution No. 12. And, within the remaining scope, i.e. regarding the suspension of the registration proceedings by the District Court in Białystok, XII Economic Division of the National Court Register regarding the entry in the Register on the basis of resolutions Nos. 25 and 29, the Company’s claim has been dismissed. The decision of the Court is final and binding.
Legal basis: § 19. 1 item 11 of the Decree of the Minister of Finance dated 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognising as equivalent the information required by the law of a non-member state.
