Becoming aware of the filing of the lawsuit to repeal or annul resolutions of the Annual

The Board of Directors of Przedsiębiorstwo Przemysłu Spożywczego PEPEES S.A. (‘the Company’) hereby informs that the Company has become aware of the filing by EPSILON Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych w Warszawie (‘the Plaintiff’) of the lawsuit to repeal or annul resolutions of the Company’s Annual General Meeting of Shareholders of 28 June 2019, including Resolution No. 28 on the amendment to the Company’s Articles of Association and authorising the Company’s Board of Directors to increase the Company’s share capital within the limits of the target capital, with the possibility of depriving existing shareholders by the Board of Directors of all or part of their pre-emptive rights with the consent of the Company’s Supervisory Board (the Company informed about the resolution in current report No. 24/2019).
The Company has not yet received a copy of the lawsuit. It learned about the filing of the lawsuit from the documentation related to the pending proceedings concerning the granting of collateral.
Specific legal basis: §19(1)(10) of the Regulation of the Minister of Finance dated 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognising as equivalent the information required by the law of a non-member state.
