Execution of an addendum to the loan agreement with Santander Bank Polska S.A

With reference to the information contained in current report no. 18/2016 as regards the loan facility agreement executed with Santander Bank Polska S.A. [the Bank], the Management Board of Przedsiębiorstwo Przemysłu Spożywczego PEPEES S.A. [Company, Issuer] announces that on 6 July 2023 an additional addendum to the aforementioned agreement by and between the Issuer and its subsidiaries, i.e. Zakłady Przemysłu Ziemniaczanego "Lublin" Sp. z o.o. [Lublin] and Przedsiębiorstwo Przemysłu Ziemniaczanego Bronisław S.A. [Bronisław] and the Bank was signed.

Pursuant to the Addendum, the bank renews the Multiline Credit Facility in the total amount of PLN 67.5 million, including for the respective companies accordingly:
• PEPEES S.A. up to PLN 40.5 million
• PPZ Bronislaw S.A. up to PLN 18.5 million
• ZPZ Lublin Sp. z o.o. up to PLN 8.5 million

The following loans were granted within the above limit:
1) overdraft facility:
• PEPEES S.A. up to PLN 4 million
• PPZ Bronislaw S.A. up to PLN 0.7 million
• ZPZ Lublin Sp. z o.o. up to PLN 2 million
2) working capital loan:
• PEPEES S.A. up to PLN 36.5 million
• PPZ Bronislaw S.A. up to PLN 17.8 million,
• ZPZ Lublin Sp. z o.o. up to PLN 6.5 million

The working capital loan may be used until 30 January 2024 and will be repaid starting from 31 January 2024 in equal monthly instalments.

The multiline was granted until 31 August 2024.

The other terms and conditions of the agreement have not been materially altered to deviate from the standard provisions used in this type of agreement.
