Conclusion of an annex to the credit agreement with Santander Bank Polska S.A.

With reference to the information contained in Current Report No. 18/2016 on the credit agreement concluded with Santander Bank Polska S.A. (the Bank), the Management Board of Przedsiębiorstwo Przemysłu Spożywczego “PEPEES” S.A. (the Company, the Issuer) announces that on 27 June 2024 another annex to the above-mentioned agreement was signed between the Issuer and its subsidiaries, i.e. Zakłady Przemysłu Ziemniaczanego “Lublin” Sp. z o.o. (Lublin) and Przedsiębiorstwo Przemysłu Ziemniaczanego Bronisław S.A. (Bronisław) and the Bank.

Under the Annex, the bank renews the Multiline Facility in the total amount of PLN 67.5 million, including for individual companies respectively:
- PEPEES S.A. up to PLN 40.5 million
- PPZ Bronisław S.A. up to PLN 18.5 million
- ZPZ Lublin Sp. z o.o. up to PLN 8.5 million

The following credits were granted within the limits as indicated:
1. overdraft facility:
- PEPEES S.A. up to PLN 4 million
- PPZ Bronisław S.A. up to PLN 0.7 million
- ZPZ Lublin Sp. z o.o. up to PLN 2 million
2. working capital facility:
- PEPEES S.A. up to the amount of PLN 36.5 million,
- PPZ Bronisław S.A. up to the amount of PLN 17.8 million,
- ZPZ Lublin Sp. z o.o. up to the amount of PLN 6.5 million

The working capital facility may be used until 30 January 2025 and shall be repaid starting from 31 January 2025 in equal monthly instalments.

The Multiline Facility was granted until 31 August 2025

The other terms and conditions of the credit agreement have not been materially altered to deviate from the standard provisions used in this type of agreement.
