Appointment of the managers for the forthcoming term in office

The Management Board of Przedsiębiorstwo Przemysłu Spożywczego "PEPEES" S.A. (the "Company") would like to inform you that on 12 July 2024 the Company's Supervisory Board, acting pursuant to Article 11(1) and Article 11(2) of the Company's Articles of Association and Article 369(1) of the Polish Code of Commercial Partnerships and Companies, appointed Mr Wojciech Faszczewski as the President of the Company's Management Board and Mr Tomasz Rogala as a Member of the Company's Management Board. Both of them were appointed for the forthcoming term in office commencing on 1 January 2025. Below, the Company provides information concerning the qualifications and experience of each manager and representations made by them.

Wojciech Faszczewski – President of the Management Board
Graduated from the Medical University of Bialystok. Since 2010, he has served as the President of the Company's Management Board. He is also the President of the Management Board of the Company's subsidiary PPZ BRONISŁAW S.A., and the Chairperson of the Supervisory Board of the Company's subsidiary ZPZ LUBLIN sp. z o.o. Previously, he served as a Member of the Company's Supervisory Board and was associated with the Oncology Centre in Białystok, to be exact the Chemotherapy and Cancer Department. He is also a former Member of the Management Board of the Association of Individual Investors for the region of Białystok. In June 2010, he was delegated by the Company's Supervisory Board to act as the President of the Company's Management Board.

Tomasz Rogala – Member of the Management Board
Mr Tomasz Rogala is a graduate of the Warsaw University of Life Sciences, from which he graduated with the title of mgr inż. In 2018, he completed the Postgraduate Studies in Corporate Financial Management at the Warsaw School of Economics. He has previously held managerial positions in commercial and real estate-related companies. Since 2016, he has been a Member of the Company's Management Board. Since 2017, he has also been the Chairperson of the Management Board of the Company's subsidiary Gospodarstwo Rolne "Ponary" Sp. z o.o.

The appointed managers represented that they did not perform activities outside the Issuer's enterprise, did not work for a competitive business as partners in a civil law partnership, a partnership or a capital company, and did not work for a competitive legal person as members of its bodies. Neither do the aforementioned persons appeared on the Register of Insolvent Debtors.
