Registration of the amendment to the Articles of Association

The Management Board of Przedsiębiorstwo Przemysłu Spożywczego “PEPEES” S.A. (the “Company”), with reference to Current Report No. 6/2024 of 7 June 2024, announces that on 27 September 2024 it was informed that an amendment to the Articles of Association was registered by the National Court Register on 27 September 2024.

Article 20 section 2 item 1 of the Articles of Association has been amended to read as follows:

“In addition to the matters indicated by law, in other provisions of these Articles of Association or in resolutions of the General Meeting, the competence of the Supervisory Board includes:

1. evaluating the Management Reports and the Company’s financial statements for the previous financial year as to their consistency with the books, documents and facts, and selecting an audit firm to carry out financial audit activities, including the statutory audit and review of the Company’s financial statements;” 

The above amendment to the Articles of Association was made by way of Resolution No. 16 of the Ordinary General Meeting of 6 June 2024 on the amendment of Article 20 section 2 item 1 of the Articles of Association.

Following the above amendment, the consolidated text of the Articles of Association has been established and constitutes as an appendix to this report.
